Your acceptance
Welcome to the Terms of Use for the Sure website and related services. This is an agreement (“Agreement”) between Sure, Inc. and Sure HIIS Insurance Services, LLC (together, “Sure,” “us,” “our,” or “we”) and you, a user of the Sure website or related services (the “Website”). By clicking agree, creating an account, or accessing or using the Offering (hereinafter defined), you agree to be bound by this Agreement and Sure’s Privacy Policy.
The Offering is owned and operated by Sure, Inc. Insurance products and services available through the Offering are offered through Sure HIIS Insurance Services, LLC, a licensed insurance producer. References to “Sure” in this Agreement refer to both entities unless the context requires otherwise.
PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THE SURE OFFERING. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE OFFERING.
Users of the Sure Offering must be 18 years of age or older. If you are under the age of 18, please stop using our Offering immediately, and do not submit any information to us.
Description of offering
Sure offers users a simple way to purchase or service certain insurance policies from one or more of our Insurance Partners (our “Services”). We offer Services through the Website. The Website, together with the Services, the “Offering.”
Privacy notice
Sure processes personal information in accordance with its Privacy Notice available at https://www.sureapp.com/privacy-policy. To the extent you provide, transmit or input any personal information, you represent and warrant that you have obtained all legally required consents to capture, collect, display, input, share and transmit such personal information to and through Sure for the purposes contemplated by this Agreement.
Accounts
To use certain features of the Offering, you may be required to create an account. Account registration requires you to submit certain personal information, as further described in and governed by our Privacy Policy. You agree to submit accurate, up-to-date, complete, and truthful information when creating an account.
We have sole discretion in granting accounts and reserve the right to reject users without explanation. You are responsible for all activity that occurs under your account, and you agree to maintain the security and secrecy of any credentials assigned to your account.
You hereby grant Sure a non-exclusive, worldwide, royalty-free right and license to use, reproduce, display, perform, and modify any information, data, content, or materials you submit through the Offering (“User Materials”) solely for the purpose of operating, improving, and providing the Offering and for the purpose of creating de-identified or aggregated data. As between you and Sure, you own and retain all right, title, and interest in your User Materials. Sure may employ artificial intelligence tools to process and extract information from documents and communications submitted through the Offering. Sure does not guarantee the accuracy of information extracted by AI tools and shall not be liable for any inaccuracies or errors resulting from the use of such tools.
Insurance products and services
Sure HIIS Insurance Services, LLC is a licensed insurance producer and the entity responsible for all insurance-related activities conducted through the Offering, including the solicitation, sale, and placement of insurance products. Insurance products available through the Offering are underwritten by third-party insurance carriers (“Insurance Partners”) and not by Sure. Sure facilitates the sale and placement of insurance products on behalf of its Insurance Partners. All descriptions or illustrations of coverage provided through the Offering are for general informational purposes only and do not alter or amend the terms, conditions, or exclusions of any insurance policy.
Payment
You understand and agree that use of the Offering may result in charges for insurance premiums, taxes, fees (including service fees), and other related amounts associated with insurance products obtained through the Offering. Payment terms, billing frequency, and remittance schedules will be set forth in your separate agreement with Sure or otherwise communicated through the Offering.
Intellectual property
Certain Restrictions: Any rights granted to you by these Agreement are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Offering; (b) you shall not modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of the Offering, except to the extent the foregoing restrictions are expressly prohibited by applicable law; (c) you shall not access the Offering in order to build a similar or competitive service or application; (d) except as expressly stated herein, no part of the Offering may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means; or (e) you shall not remove or destroy any copyright notices or other proprietary markings contained on or in Offering. Any future release, update, or other addition to functionality of the Offering shall be subject to this Agreement, unless otherwise provided in terms associated with such addition.
Modifications: Sure reserves the right, at any time, to modify, suspend, or discontinue the Offering or any part thereof with or without notice. In the future we may offer additional services, features, functionalities and in-app purchases. You agree that Sure will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Offering or any part thereof.
Ownership: Sure (and its licensors, where applicable) own all right, title and interest, including all related intellectual property rights, in and to the Sure Offering. This Agreement does not convey to you any rights of ownership in or related to the Offering. The Sure name, logo, and the product names associated with the Sure Service belong to Sure, Inc. (or its licensors, where applicable), and no right or license is granted to use them by implication, estoppel or otherwise. Sure (and its licensors, where applicable) reserve all rights not granted in this Agreement.
The Offering and all associated intellectual property rights, including all modifications, improvements, adaptations, configurations, enhancements, or translations, are owned by or licensed to Sure, Inc., subject to copyright and other intellectual property rights under United States and foreign laws and international conventions. Sure reserves all rights not expressly granted in this Agreement. You agree not to engage in the use, copying, or distribution of anything contained within the Offering unless we have given express written permission. No rights are granted to you (whether by implication, estoppel, exhaustion, or otherwise) other than as expressly set forth herein.
Use of the offering
You agree not to use the Offering to:
- Submit fraudulent insurance applications, claims, or documentation, or otherwise attempt to defraud Sure, its Insurance Partners, or any other party;
- Access, copy, or otherwise use the Offering, including our intellectual property and trademarks, except as authorized by this Agreement;
- Use any automated system to access the Offering in a manner that sends more request messages to our servers than a human can reasonably produce;
- Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Offering;
- Upload invalid data, viruses, worms, or other software agents;
- Collect or harvest any personally identifiable information from the Offering;
- Impersonate any person or entity or misrepresent your affiliation with a person or entity; or
- Violate any applicable law or regulation in connection with your use of the Offering.
If you are discovered to be undertaking any of the foregoing actions, your privileges to use the Offering may, at our discretion, be terminated or suspended.
Third-party services and content
The Offering may be made available or accessed in connection with third-party services and content that Sure does not control, including property management platforms, insurance carrier portals, and payment processors. You acknowledge that different terms of use and privacy policies may apply to your use of such third-party services and content. Sure is not responsible for the acts or omissions of any third-party service provider. Any personal information shared with a third-party service will be subject to that third party’s privacy policy.
Representations and warranties
THE OFFERING IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. SURE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SURE DOES NOT WARRANT THAT THE OFFERING WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. SURE IS NOT RESPONSIBLE FOR DECISIONS MADE BY USERS REGARDING INSURANCE REQUIREMENTS.
Limitation of liability
IN NO EVENT SHALL SURE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF INCOME, DATA, PROFITS, REVENUE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE OFFERING, REGARDLESS OF THE LEGAL OR EQUITABLE THEORY ON WHICH THE CLAIM IS BASED AND WHETHER OR NOT SURE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SURE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100) OR THE TOTAL AMOUNT YOU PAID TO SURE FOR INSURANCE PRODUCTS WITHIN THE SIX (6) MONTHS PRECEDING THE DATE THE CLAIM ARISES, WHICHEVER IS GREATER. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
For Jurisdictions that do not allow us to limit our liability: Notwithstanding any provision of these Terms, if your jurisdiction has provisions specific to waiver or liability that conflict with the above then our liability is limited to the smallest extent possible by law. Specifically, in those jurisdictions not allowed, we do not disclaim liability for: (a) death or personal injury caused by its negligence or that of any of its officers, employees or agents; or (b) fraudulent misrepresentation; or (c) any liability which it is not lawful to exclude either now or in the future.
IF YOU ARE A RESIDENT OF A JURISDICTION THAT REQUIRES A SPECIFIC STATEMENT REGARDING RELEASE THEN THE FOLLOWING APPLIES. FOR EXAMPLE, CALIFORNIA RESIDENTS MUST, AS A CONDITION OF THIS AGREEMENT, WAIVE THE APPLICABILITY OF CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES, “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.” YOU HEREBY WAIVE THIS SECTION OF THE CALIFORNIA CIVIL CODE. YOU HEREBY WAIVE ANY SIMILAR PROVISION IN LAW, REGULATION, OR CODE THAT HAS THE SAME INTENT OR EFFECT AS THE AFOREMENTIONED RELEASE. YOUR ABILITY TO USE OUR THE OFFERING IS CONTINGENT ON YOUR AGREEMENT WITH THIS AND ALL OTHER SECTIONS OF THIS AGREEMENT.
Indemnity
You agree to defend, indemnify, and hold harmless Sure, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt and expenses (including reasonable attorneys’ fees) arising from: (i) your use of and access to the Offering; (ii) your violation of any term of this Agreement; (iii) your violation of any third-party right, including any intellectual property or privacy right; or (iv) any claim arising from information or documentation you submitted through the Offering. This defense and indemnification obligation will survive this Agreement and your use of the Offering.
You also agree that you have a duty to defend us against such claims, and we may require you to pay for an attorney(s) of our choice in such cases. You agree that this indemnity extends to requiring you to pay for our reasonable attorneys’ fees, court costs, and disbursements. In the event of a claim such as one described in this paragraph, we may elect to settle with the party/parties making the claim and you shall be liable for the damages as though we had proceeded with a trial.
Governing law and dispute resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of New York without regard to its conflict of laws provisions. Any legal action or proceeding arising under this Agreement will be brought exclusively in the federal or state courts located in the Southern District of New York and the parties irrevocably consent to the personal jurisdiction and venue therein. Notwithstanding the foregoing, Sure may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights. The parties expressly agree that the United Nations Convention on Contracts for the International Sale of Goods will not apply.
You agree that any claim or cause of action arising out of or related to your use of the Offering or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred.
Force majeure
You agree that Sure is not responsible to you for anything that we may otherwise be responsible for, if it is the result of events beyond our control, including, but not limited to, acts of God, war, insurrection, riots, terrorism, crime, labor shortages (including lawful and unlawful strikes), embargoes, postal disruption, communication disruption, failure or shortage of infrastructure, shortage of materials, or any other event beyond our control.
Severability
In the event that a provision of this Agreement is found to be unlawful, conflicting with another provision of the Agreement, or otherwise unenforceable, the Agreement will remain in force as though it had been entered into without that unenforceable provision being included in it. If two or more provisions of this Agreement are deemed to conflict with each other’s operation, Sure shall have the sole right to elect which provision remains in force.
Non-waiver
We reserve all rights permitted to us under this Agreement as well as under the provisions of any applicable law. Our non-enforcement of any particular provision or provisions of this Agreement or any applicable law should not be construed as our waiver of the right to enforce that same provision under the same or different circumstances at any time in the future.
Taxes and compliance
You agree that you are responsible for all taxes and fees associated with your use of the Offering. Sure is not responsible for your violation of any laws while using the Offering. Users must comply with all applicable local, state, and federal laws regarding their use of the Offering.
Termination
We may terminate or suspend your account or access to the Offering at any time without notice, though we will strive to provide a timely explanation in most cases. We may also terminate or suspend your account or access to the Offering (i) upon thirty (30) days’ written notice if you materially breach this Agreement and fail to cure such breach within such notice period, or (ii) immediately upon written notice for non-payment, fraud, violation of applicable law, or breach of the use restrictions set forth in this Agreement.
Upon termination, (i) the rights granted to you under this Agreement will terminate, and (ii) you will return or destroy all Sure Confidential Information in your possession or control. All provisions of this Agreement which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. No termination will affect your obligation to pay any fees that have accrued prior to the effective date of termination or entitle you to any refund.
Amendments
We may amend this Agreement from time to time. When we amend this Agreement, we will update this page and indicate the date that it was last modified. Your continued use of the Offering after any such amendment constitutes your acceptance of the revised terms.
Electronic communications
By using the Offering, you consent to receive communications from Sure in electronic form, including emails, platform notifications, and other digital communications. You agree that all terms, conditions, agreements, notices, disclosures, and other communications that Sure provides to you electronically satisfy any legal requirement that such communications would satisfy if they were in writing.
Relationship of the parties
Nothing in this Agreement will be construed to create a partnership, joint venture, or agency relationship between you and Sure. Neither party will have the power to bind the other or to incur obligations on the other’s behalf without the other party’s prior written consent.
Assignment
You may not assign your rights or obligations under this Agreement to any other party without our prior written consent. Sure may assign its rights or obligations under this Agreement to an affiliate or to a third party that succeeds to all or substantially all of Sure’s business relating to the Offering, whether by sale, merger, operation of law, or otherwise.
California users and residents
Pursuant to California Civil Code Section 1789.3, any questions about pricing, complaints, or inquiries about Sure must be addressed to our agent for notice and sent via certified mail to: Sure, Inc., 6125 Luther Lane, #415, Dallas, TX 75225.
Lastly, California users are also entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210.
